Tournament Mgmt Pro is a tournament-management platform for organizers, team managers, coaches, and other adult users. Tournament organizers remain responsible for their events, rules, eligibility decisions, and participant relationships. |
1. Acceptance of These Terms
These Terms of Service (“Terms”) are a legal agreement between you and Sports Mgmt Pro, LLC, doing business as Tournament Mgmt Pro (“TMP,” “we,” “us,” or “our”). They govern your access to and use of tournamentmgmtpro.com, app.tournamentmgmtpro.com, and related services (collectively, the “Services”).
By accessing or using the Services, creating an account, registering a team, or accepting an order form that references these Terms, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, club, or other entity, you represent that you have authority to bind it, and “you” includes that entity. If you do not agree, do not use the Services.
A separate order form, subscription agreement, data processing addendum, or other written agreement between TMP and an organization controls if it expressly conflicts with these Terms.
2. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering a contract to create or control an account. Youth players may participate in tournaments, but may not create accounts or submit information directly through the Services.
You must provide accurate, current information and keep it updated. You are responsible for account credentials, all activity under your account, and promptly notifying us of suspected unauthorized access. You may not share an account except through features that expressly permit authorized organization users.
3. The Services and TMP’s Role
TMP provides software tools for tournament configuration, custom registration forms, rosters, capacity and waitlists, card and ACH payments, vouchers, scheduling, brackets, conflict detection, scores, standings, announcements, reports, and exports.
TMP is a technology provider, not a tournament organizer, sports governing body, coach, referee, team, venue, or payment institution. Organizers independently control their events, including eligibility, acceptance, rules, schedules, safety, staffing, cancellations, refunds, discipline, and outcomes. A tournament listing or registration option does not mean TMP sponsors, endorses, sanctions, or guarantees the event.
4. Organizer Responsibilities
An organizer using the Services must:
- Publish accurate tournament details, eligibility rules, entry fees, deadlines, refund and cancellation policies, and contact information.
- Obtain all rights, permissions, notices, and consents needed to collect, use, disclose, and publish registration, roster, participant, image, and communications information, including information about minors.
- Use the Services and exported data only for lawful tournament and organization purposes, apply reasonable access controls, and honor applicable privacy requests.
- Administer the event safely and lawfully, maintain appropriate insurance and permits, and comply with governing-body, venue, safeguarding, background-check, health, and youth-sports requirements.
- Make and communicate decisions about team acceptance, waitlists, scheduling, scoring, discipline, cancellations, and refunds.
Organizers are responsible for their authorized administrators and for configuring access appropriately. TMP may rely on instructions submitted through an organizer account.
5. Team Managers, Coaches, and Registrants
A person registering a team or providing participant information represents that the information is accurate and that they are authorized by the team, club, participant, parent, or guardian, as applicable. You must review the organizer’s event rules and refund policy before registering. Registration is an application unless the organizer confirms acceptance.
You are responsible for ensuring participants satisfy eligibility and documentation requirements, for monitoring organizer communications and schedule changes, and for keeping contact and roster information current.
6. Fees, Orders, and Subscriptions
Fees for an organizer’s use of TMP are stated in the applicable quote, order form, checkout page, or subscription terms. Unless stated otherwise, fees are in U.S. dollars, exclusive of taxes, and due when invoiced or charged. You authorize TMP and its payment processor to charge the payment method provided for amounts due.
If a subscription renews automatically, the renewal interval, price, cancellation method, and any required renewal notice will be disclosed in the applicable order or checkout flow. Except as required by law or expressly stated in the applicable order, paid platform fees are nonrefundable. Late or unpaid amounts may result in suspension, recovery costs, or lawful interest.
7. Tournament Entry Fees, Payments, Refunds, and Disputes
Tournament entry fees are charged for and on behalf of the applicable organizer. Stripe or another disclosed provider processes card or ACH transactions. Additional processor or service fees, if any, will be shown at checkout.
The organizer’s posted refund and cancellation policy governs tournament fees. The organizer, not TMP, decides team acceptance, refunds, credits, event cancellation, and amounts retained for event expenses, except to the extent TMP is required to act by law or payment-network rules. TMP may facilitate a refund authorized by the organizer.
Before initiating a chargeback or payment dispute, contact the organizer and provide a reasonable opportunity to resolve the issue. We may share transaction and registration records with the organizer, payment processor, financial institutions, or networks to investigate disputes and prevent fraud.
8. User Content and Public Information
“User Content” means information and materials submitted, uploaded, generated, or published through the Services, including tournament descriptions, rules, logos, team and roster information, schedules, scores, announcements, and files. You retain ownership of your User Content.
You grant TMP a worldwide, nonexclusive, royalty-free license to host, store, reproduce, format, transmit, display, publish, and otherwise use User Content as necessary to provide, secure, support, and improve the Services and to follow your or the organizer’s instructions. This license continues only as reasonably needed for those purposes, legal compliance, backups, and dispute resolution.
You represent that you have all rights and permissions needed for User Content and that it is accurate, lawful, and does not infringe or violate another person’s rights. Public tournament pages can be viewed, copied, indexed, and shared by others. Do not publish information that should remain confidential.
9. Acceptable Use
You may not:
- Use the Services unlawfully, fraudulently, deceptively, or to facilitate unsafe or abusive conduct.
- Submit information without authorization, impersonate another person, misrepresent affiliation, or interfere with another user’s account or event.
- Upload malware; probe, scan, or test vulnerabilities without written permission; bypass access controls; disrupt the Services; or attempt unauthorized access.
- Scrape, harvest, or use automated means to extract personal information or substantial portions of the Services, except as expressly permitted by TMP in writing or by applicable law.
- Reverse engineer, decompile, copy, frame, resell, sublicense, or create derivative works from the Services except where a restriction is prohibited by law.
- Use the Services to send spam, unlawful marketing, harassment, discriminatory content, or content that infringes intellectual property, privacy, publicity, or other rights.
We may investigate suspected violations and remove content, restrict features, suspend accounts, or cooperate with authorities when appropriate.
10. Communications
You agree to receive operational communications needed to provide the Services, including account, security, registration, payment, schedule, and event messages. Organizers are responsible for ensuring their announcements and marketing comply with applicable consent, opt-out, and content requirements. Marketing communications from TMP will include legally required opt-out options.
11. Privacy and Youth Information
Our Privacy Policy explains TMP’s data practices. Users who provide information about youth participants represent that they are authorized to do so and have provided legally required notices and obtained legally required parental or guardian consent. Accounts are not intended for children under 13.
Where TMP processes personal information on an organizer’s behalf, the organizer is responsible for its instructions, legal basis, required disclosures, and responses to participant requests. TMP may assist the organizer as required by contract or law.
12. Third-Party Services and Links
The Services may integrate with or link to Stripe, organizer websites, venues, maps, communications tools, and other third-party services. Their terms and privacy notices govern their services. TMP is not responsible for third-party content, availability, security, decisions, or acts. Your use of a third-party service may require a separate account or agreement.
13. TMP Intellectual Property and Feedback
The Services, software, designs, text, graphics, trademarks, logos, documentation, and other TMP materials are owned by TMP or its licensors and protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, TMP grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for their intended purpose.
If you provide suggestions or feedback, you grant TMP a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided TMP does not identify you publicly without permission.
14. Availability, Changes, and Support
We may add, modify, or discontinue features and may perform maintenance. We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Support commitments, onboarding, service levels, or event-day priority apply only as expressly stated in an applicable order or written agreement.
Organizers should maintain reasonable contingency plans and current exports for event-critical schedules, rosters, and contacts.
15. Suspension and Termination
You may stop using the Services at any time and may cancel a subscription as described in the applicable order or account controls. We may suspend or terminate access if you materially breach these Terms, fail to pay, create security or legal risk, misuse personal information, or threaten the Services or others. When reasonably practicable, we will provide notice and an opportunity to cure.
After termination, your right to use the Services ends. Subject to contract, law, technical feasibility, and legitimate retention needs, an organizer may request an export of its data before termination. Sections that by their nature should survive will survive, including payment obligations, intellectual property, disclaimers, limitations, indemnity, dispute terms, and miscellaneous provisions.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TMP DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TMP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR A PARTICULAR EVENT; THAT DATA OR CALCULATIONS WILL ALWAYS BE ACCURATE; OR THAT A TOURNAMENT WILL OCCUR SAFELY OR AS DESCRIBED. ORGANIZERS AND USERS MUST VERIFY SCHEDULES, SCORES, ELIGIBILITY, FEES, REFUND TERMS, VENUES, AND OTHER EVENT-CRITICAL INFORMATION.
Participation in sports and attendance at events involve risks that TMP does not control. TMP is not responsible for injuries, property damage, weather, venue conditions, conduct, officiating, eligibility decisions, cancellations, or other event operations.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMP AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMP’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO TMP BY YOU FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. AMOUNTS PAID TO A TOURNAMENT ORGANIZER AS ENTRY FEES ARE NOT AMOUNTS PAID TO TMP FOR PURPOSES OF THIS LIMIT.
These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless TMP and its affiliates, owners, officers, employees, contractors, licensors, and providers from claims, damages, losses, liabilities, penalties, and reasonable costs (including attorneys’ fees) arising from your User Content; your event, team, participants, or operations; your violation of these Terms or law; your misuse of personal information; or your infringement of another person’s rights. TMP may control the defense of a matter subject to indemnification, and you will reasonably cooperate. This section does not require an individual consumer to indemnify TMP where prohibited by law.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Orange County, California, and each party consents to personal jurisdiction and venue there.
Before filing a claim, the complaining party must send written notice describing the dispute and requested relief. The parties will attempt in good faith for 30 days to resolve it informally. Either party may seek urgent injunctive or equitable relief when necessary to protect security, confidential information, or intellectual-property rights.
20. Compliance with Law
You must comply with applicable laws, sanctions, export controls, anti-corruption rules, tax obligations, and sports-governing requirements. You may not use the Services if barred under applicable law or in a prohibited jurisdiction.
21. Changes to These Terms
We may update these Terms. We will post the revised Terms and update the effective date. If a change is material, we will provide additional notice when required by law. Changes apply prospectively. Continuing to use the Services after revised Terms take effect constitutes acceptance, except where applicable law requires another form of consent.
22. Miscellaneous
These Terms and any controlling written agreement are the entire agreement about the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without TMP’s written consent; TMP may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. Headings are for convenience only. Electronic notices and signatures are valid to the extent permitted by law.
